Terms of Service and Privacy Policy

Your use of Ethica constitutes acceptance of these Terms of Service and Privacy Policy. Binary Gardens Software, Inc. may update these terms from time to time. Continued use of the service after updates means you accept the revised terms.

These terms represent the entire agreement between your organization and Binary Gardens Software, Inc. regarding use of Ethica.

Intellectual Property

Ethica, including its software, workflows, and design elements, is owned by Binary Gardens Software, Inc. and protected by applicable intellectual property laws.

What We Collect

• Account information: the names and email addresses of your admins, your organization's name, and admin passwords, which are stored only as a secure hash.
• Information you add about your team: employee names, email addresses, roles and hire dates, and the training and policies you assign them.
• Training records: progress and completion data reported by courses, completion dates, and certificates employees upload. When an employee acknowledges a policy or uploads a certificate, we also record the date and time, their IP address and their browser, together with the policy version and file they acknowledged.
• Emails we send: a log of the training emails and reminders sent to each employee.
• How you found us: when you sign up or request a walkthrough, we store the campaign details in the link you arrived from, such as UTM parameters, an ad click ID or a referral code.
• Usage analytics: we use PostHog to understand how our website and app are used, including page views and interactions. We don't run analytics on employees' private training pages or on other pages opened from a private link.
• Payments: subscriptions are billed through Stripe. We don't receive or store card numbers.

We use a session cookie to keep admins signed in, and PostHog stores an analytics identifier in your browser. We rely on these service providers to run Ethica: Heroku (hosting), Amazon Web Services (file storage and delivery), Postmark (email delivery), Stripe (payments) and PostHog (analytics).

Privacy and Security

We use industry-standard safeguards to protect your information, including encrypted transport. Training access is delivered through secure tokenized links, and admin access is controlled through authenticated organization accounts.

You retain ownership of your content and data. We do not sell customer data. We may process data as needed to provide the service, maintain reliability, improve the product, and comply with legal obligations.

While we use appropriate safeguards, no system can guarantee absolute security. You acknowledge the inherent risks of transmitting and storing data online.

Acceptable Use

You agree to use Ethica lawfully and only for authorized business or organizational purposes. You must not attempt to disrupt, reverse engineer, exploit, or misuse the service.

You are responsible for ensuring your uploaded training content and organizational usage comply with applicable laws and third-party rights.

Accounts and Responsibility

You are responsible for maintaining the security of your admin account and credentials. You are responsible for ensuring you have permission to upload and assign training content in your organization.

You represent that users accessing Ethica through your organization are authorized to do so.

Billing and Subscriptions

Paid subscriptions are billed through Stripe. Pricing, plan limits, and billing details are presented in-product and may be updated with notice. You may cancel your subscription according to the billing terms shown in your account.

Service Changes and Availability

We may modify, suspend, or discontinue parts of Ethica at any time. We may also restrict or suspend accounts in cases of abuse, misuse, or violations of these terms.

Availability and Liability

We work to provide a reliable service but do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, Binary Gardens Software, Inc. is not liable for indirect, incidental, or consequential damages arising from use of the service.
